JCM Webworks agrees to design, develop, and deliver a website for the Client according to the specifications and requirements outlined in the Service Agreement. The Client shall provide all necessary information, content, and materials required for the completion of the Website in a timely manner.

These Terms, together with the Service Agreement, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, negotiations, and understandings, whether written or oral.

JCM Webworks and the Client shall agree on a project timeline and milestones for the completion of the Website. JCM Webworks shall make every reasonable effort to meet the agreed-upon deadlines. However, the Client acknowledges that delays may occur due to unforeseen circumstances or changes in project scope. JCM Webworks shall notify the Client promptly of any such delays and provide a revised timeline.

The Client shall pay JCM Webworks for the Services as outlined in the Service Agreement. All fees are non-refundable unless otherwise specified in writing. The Client shall make payment according to the payment schedule agreed upon in the Service Agreement. Late payments may result in delays or suspension of the Services.

The Client may request changes or revisions to the Website during the design and development process. JCM Webworks shall accommodate reasonable and mutually agreed-upon changes without additional charges, provided that such changes do not significantly alter the original project scope. Additional charges may apply for extensive revisions or changes requested after the project scope has been agreed upon.

Upon full payment of all fees, JCM Webworks shall grant the Client a non-exclusive, perpetual, and worldwide license to use the Website and all related materials for the Client's business purposes. JCM Webworks retains ownership of all intellectual property rights in the Website, including but not limited to design elements, source code, and any original content created by JCM Webworks.

The Client acknowledges that JCM Webworks may utilize third-party services, such as hosting providers, content management systems (e.g., WordPress), or payment gateways (e.g., Stripe, PayPal), in the course of providing the Services. The Client agrees to comply with the terms and conditions of such third-party services and to be responsible for any fees associated with their use.

In no event shall JCM Webworks be liable for any indirect, incidental, or consequential damages arising out of or in connection with the Services, including but not limited to loss of profits, loss of data, or business interruption. JCM Webworks' total liability for any direct damages shall not exceed the total fees paid by the Client for the Services.

Either party may terminate the Service Agreement upon written notice if the other party breaches any material term or condition of these Terms and fails to cure such breach within 30 days of receiving written notice. Upon termination, the Client shall pay JCM Webworks for all Services performed up to the date of termination.

JCM Webworks warrants that the Website will be free from defects in material and workmanship and will function substantially as described in the Service Agreement. JCM Webworks shall provide support and maintenance services for a period of 30 days  following the delivery of the Website, which shall include correcting any defects or errors in the Website that are covered by this warranty. Additional support and maintenance services may be provided at JCM Webworks' standard rates
